Terms of Release

By providing the information above and completing this Release, I hereby acknowledge that I have read this Release in its entirety and I agree to be bound by the terms and conditions contained in this Release.
                      
                      1.	I hereby acknowledge that: (i) I have read, and I meet and agree to be bound by, the eligibility requirements for the Model Dating program (the “Program”); (ii) I have completed all information honestly and accurately and will answer any questions put to me by Ripe Digital Entertainment, Inc. and its licensees, assigns, subsidiaries and affiliated entities, as the case may be (collectively, “Producer”) honestly and accurately; (iii) if any information that I provide to Producer is found to be false or incomplete it will be grounds for rejection from the Program participant selection process, and/or removal from the Program, if already selected as a participant; (iv) even if I meet the eligibility requirements, Producer has no obligation to select me as a participant; (v) all decisions by Producer concerning selection of the participants are final and not subject to challenge or appeal; and (vii) Producer has no obligation to return or maintain any materials submitted as part of the application whether or not I am selected.  I irrevocably assign to the Producer, and agree that the Producer exclusively owns, the application materials, including without limitation the submission video that I have provided in connection with my application for the Program (the “Submitted Materials”) and all rights therein.
                      
                      2.	 I agree that none of the Submitted Materials will contain or include any musical or literary compositions. 
                      
                      
                      3.	I know Producer will incur significant costs and expenses in reliance upon this Release, so I will not attempt to cancel it or to revoke any of the rights granted to Producer herein.  I acknowledge that I am voluntarily applying to participate in the Program and that I shall not be deemed to be an employee of Producer, nor shall I be entitled to the benefits provided by Producer to its employees. 
                      
                      4.	The term “Released Parties” shall mean and refer to Producer, all Internet sites, television, satellite or cable networks, or other broadcasters that broadcast or otherwise exhibit the Program, all sponsors and advertisers connected with the Program, all other persons and entities connected with the Program, the respective parents, subsidiaries, affiliated entities and persons, licensees, successors and assigns of each of the foregoing, each of their respective directors, officers, employees, agents, contractors, partners, shareholders, representatives and members, and each of their respective heirs, next of kin, spouses, guardians, legal representatives, executors, administrators, successors, licensees and assigns.
                      
                      5.	TO THE MAXIMUM EXTENT PERMITTED BY LAW, I, FOR MYSELF AND ON BEHALF OF MY HEIRS, EXECUTORS, AGENTS, SUCCESSORS OR ASSIGNS (THE “RELEASING PARTIES”) IRREVOCABLY RELEASE EACH OF THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, ACTIONS, DAMAGES, LIABILITIES, LOSSES, COSTS AND EXPENSES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES AND COSTS) ARISING OUT OF, RESULTING FROM, OR BY REASON OF MYAPPLICATION TO PARTICIPATE IN THE PROGRAM AND, IF SELECTED, MY PARTICIPATION IN OR IN CONNECTION WITH THE PROGRAM, INCLUDING, WITHOUT LIMITATION, THE APPLICATION AND SELECTION PROCESS, MY LINKING OR UPLOADING ANY VIDEO OR OTHER CONTENT TO A THIRD-PARTY WEBSITE AND ANY ACTS OR OMISSIONS OF ANY THIRD-PARTY OWNING OR OPERATING SUCH WEBSITE , ANY DISQUALIFICATION DETERMINATIONS, THE CANCELLATION OF THE PROGRAM, ON ANY LEGAL OR EQUITABLE THEORY WHATSOEVER (COLLECTIVELY, THE “RELEASED CLAIMS”).  THE RELEASED CLAIMS SPECIFICALLY INCLUDE, WITHOUT LIMITATION, ANY AND ALL COMPLAINTS TO AND PROCEEDINGS BEFORE A REGULATORY BODY, ANY CLAIMS RELATING TO ANY CLAIMS, ACTIONS, DAMAGES, LIABILITIES, LOSSES, COSTS AND EXPENSES OF ANY KIND RESULTING FROM THE ACTIONS OF ANY OTHER THIRD PARTY AT ANY TIME, OR FROM ANY DEFECT IN OR FAILURE OF EQUIPMENT, WARNINGS OR INSTRUCTIONS, OR MY APPLICATION, AND WHETHER OR NOT CAUSED BY OR ARISING OUT OF THE NEGLIGENCE, GROSS NEGLIGENCE, OR INTENTIONAL CONDUCT OF ANY OF THE RELEASED PARTIES.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, I AND THE OTHER RELEASING PARTIES ALSO AGREE NOT TO SUE OR INSTITUTE ANY OTHER LEGAL PROCEEDINGS AGAINST ANY OF THE RELEASED PARTIES BASED ON ANY OF THE RELEASED CLAIMS HEREUNDER.
                      
                      6.	To the maximum extent permitted by law, I and the other Releasing Parties irrevocably agree to defend, indemnify and hold harmless each of the Released Parties from and against any and all Released Claims by whomever asserted, including, without limitation, any claims arising out of or in connection with (a) any breach or alleged breach of any agreement, covenant, representation, or warranty made by me in this Release, or (b) any statement, action or omission of mine during or in connection with applying to participate in the Program or resulting directly or indirectly from the Program (whether before, during or after my actual participation in the Program), or (c) my failure to pay taxes due in connection with any prize I may receive (as to which I acknowledge I am solely responsible).
                      7.	I acknowledge that there is a possibility that after the execution of this Release, I may discover facts or incur or suffer claims that were unknown or unsuspected at the time I executed this Release, and which, if known by me at that time, may have materially affected my decision to execute this Release.  I acknowledge and agree that by reason of this Release and the releases contained herein, I have assumed any risk of such unknown facts and such unknown and unsuspected claims.  I am aware of the existence of Section 1542 of the California Civil Code, which provides:
                      
                      A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.
                      8.	Notwithstanding this provision, this Release shall constitute a full, final, and complete release, accord and satisfaction of each and every of the Released Claims that I have or may have, at any time, against any of the Released Parties.  To the maximum extent permitted by law, I knowingly and voluntarily waive the provisions of Section 1542 of the California Civil Code, as well as any other statute, law or rule of similar effect of any other jurisdiction throughout the world, and acknowledge and agree that this waiver is an essential and material term of this Release.  I represent that I understand and acknowledge the significance and consequence of the releases I have made herein, and of my waiver of any rights I may have under Section 1542 of the California Civil Code and any other similar statutes, laws and rules.
                      
                      9.	This Release shall be deemed to be entered into in Los Angeles County, California, and shall be governed by and interpreted in accordance with the laws of the State of California applicable to agreements executed and fully carried out within California.  Any action, proceeding or litigation concerning this Release, the Submitted Materials, or my appearance or participation in the Program may only be brought in Los Angeles County, California, and I hereby agree that the courts of Los Angeles County, California, shall have exclusive jurisdiction over me and the subject matter of any such proceeding. Notwithstanding the foregoing, I agree that any and all disputes or controversies arising under or relating to this Release or any of its terms, any effort by any party to enforce, interpret, construe, rescind, terminate or annul this agreement, or any provision thereof, and any and all disputes or controversies arising under or relating to my possible appearance or participation in the Program, shall be resolved by binding arbitration held in Los Angeles County, California, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
                      
                      10.	Notwithstanding the foregoing paragraph, I recognize and acknowledge that given the unique nature of the Program and the commercial realities of the entertainment industry, which rely upon confidentiality and intellectual property rights, an actual or anticipated breach of my publicity or confidentiality obligations pursuant to this Release, or any infringement by me of Producer’s intellectual property rights would cause Producer irreparable injury and damage that cannot be reasonably or adequately compensated by money and, therefore, I hereby agree that Producer shall, without limitation, also be entitled to seek and obtain injunctive and other equitable relief from any court of competent jurisdiction for any such breach or infringement.
                      
                      
                      11.	I agree that my remedies for any breach of this Release, or any other claims concerning or relating to the Program, shall be limited to actual monetary damages, and in no event shall I be entitled to recover punitive or exemplary damages or to rescind this Agreement or seek injunctive or any other equitable relief, or seek to enjoin or restrict the exhibition, distribution or other exploitation of the Program or any of the rights granted herein.
                      
                      12.	This is the complete and binding agreement between Producer and me, and it supersedes all prior understandings and/or communications, both oral and written, with respect to its subject matter.  If any provision of this Agreement is found to be invalid, illegal or unenforceable for any reason, such provision shall be severed from the rest of the Agreement and shall in no way affect the validity, legality or enforceability of any other provision of this Agreement, which shall be enforced to the maximum extent permitted by law.  This Agreement cannot be terminated, rescinded or amended, except by a written agreement signed by both Producer and me.  Any laws that require or suggest that the interpretation of a document or agreement, or the resolution of any ambiguities contained therein, should be resolved against the drafter of the document or agreement, are hereby waived. No waiver by Producer of any term or condition of this Release will be construed as a waiver by Producer of any other term or condition; nor will any waiver by Producer of any default under this Release be construed as a waiver by Producer of any other default. It is further understood and agreed that no failure or delay in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege hereunder. Producer may freely assign, in whole or in part, any of its rights or obligations under this Release. I may not assign my rights and obligations under this Release.
                      
                      I AM 18 YEARS OF AGE OR OLDER, AND WAS SO ON THE DATE THE SUBMITTED MATERIALS WERE CREATED.

Eligibility Requirements

DATE A MODEL INFORMATION AND ELIGIBILITY
                      
                      Ripe Digital Entertainment, Inc. (“Producer”) is currently accepting applications from guys 18 or older to go on a date with one of our models!  If a model accepts your two-minute video application, Producer will contact you for a brief phone interview, and you could be on TV! 
                      Eligible applicants must agree to these eligibility requirements and complete the Casting Application and Release (to be completed by you and anyone else who appears in your audition video). 
                      Eligibility
                      
                      In order to be eligible for selection, you must: 
                      1)  Be 18 years or older at the time of application. 
                      2)  Be single.
                      3)  Be a legal citizen and resident of the United States.
                      4)  Be available to travel at your own expense to Los Angeles and spend one day to attend a date with the model. The exact date will be determined by Producer in its discretion.
                      5)  Never have been convicted of a felony or misdemeanor, other than a minor traffic violation, and have never had a restraining order or other injunctive relief entered against you. There must not be any outstanding criminal warrants for you.
                      6)  Execute any additional documents reasonably requested by Producer.
                      7)  Be willing to go through background checks deemed necessary by Producer.
                      8)  Be willing to be observed and recorded using video and audio recording devices before, during and after the date. 
                      The employees, officers, directors and agents of  Producer and/or of any of its licensees, assigns, parents, affiliated and subsidiary companies and the immediate family (spouse, mother, father, sister, brother, daughter or son, regardless of where they live) or members of their same households (whether related or not) of such employees, officers, directors and agents are not eligible to be participants on the Model Dating program (the "Program") or participate in the application process. 
                      All applications must be received by 5:00 pm (PDT) on August 31, 2008.
                      Application Instructions 
                      To be considered, the Application and the Release MUST be dated, completed fully and agreed to electronically.  Applications may include a link to videos and/or photos posted on the Internet..  All videos  must meet the following requirements: 
                      1) Length: 
                      * Maximum length of two (2) minutes.  
                      * No nudity and/or sexual conduct may appear on any video submitted. 
                      * Each person appearing in your video also must complete  the Casting Application and Release (click on the link above to download), and you must submit these with your application. 
                      2) Format: Send us a link to your video as posted on a video-sharing website (e.g., YouTube)         
                      3) Content: Tell us who you are and why you would make a great date for a model. Be creative! 
                      4) Deadline: Applications must be received by 5:00 pm (PST) on August 31, 2008. 
                      All materials you submit to us will be retained by Producer and become the property of Producer.  Producer may, in its sole discretion, retain all of such materials,  whether or not you are selected as a participant. Any expenses you incur during the application process, e.g., materials preparation (video, photos, etc.) are your sole responsibility.  Producer will not reimburse you for these expenses. Only one entry per person is allowed. All decisions of Producer are final and absolute and not subject to inquiry, review or appeal. 
                      In addition, Producer may, in its sole discretion, contact you separately to request the following identification:  a clear photocopy of two ORIGINAL forms of ID to prove that you are at least 18 years of age. The first piece of identification must have your photo, date of birth and expiration date -- this can be a driver's license, passport or state ID. A second form of ID can be a birth certificate, student ID, Social Security card, voter registration card or military ID. Expired IDs will NOT be accepted.  In the event that you are requested by Producer to provide forms of ID and you fail or refuse to provide them, you will no longer be eligible to be selected to go on a date with a model.  
                      Unfortunately, we will not be able verify whether we have received your application. No phone calls, please. If you have not received a phone call from a Producer within four-to-six weeks after your submission, there may not be an opening available for you, but your submission will remain on file. 
                      Producer reserves the right to change the terms of the application and the production schedule at any time. Producer also reserves the right to modify the manner in which it conducts participant application reviews or to not produce the program Model Dating at all.
